Since the enactment of the Sarbanes-Oxley Act in 2002, public companies’ boards of directors have been mandated to include a financial expert. This requirement has remained unchanged over the years. What has changed though is the expanded scope and complexity of responsibilities entrusted to board members. Effective corporate governance now requires that all board members possess some degree of financial literacy – the more, the better!
Women on Boards: The Need for Financial Literacy of All Board Members explores the importance of financial literacy for all board members to meet their fiduciary duties. Carla Hayn, professor of accounting at UCLA Anderson School of Management, will demonstrate how a lack of comprehension regarding financial performance and inadequate management oversight can lead to increased risk-taking, delayed loss recognition, and manipulated earnings. Enhanced financial literacy within boardrooms could have prevented various business failures, like Enron’s bankruptcy and Silicon Valley Bank’s collapse. Having a good understanding of the financial statements and companies’ disclosures elevates the board’s ability to make wise decisions and to fulfill their fiduciary responsibilities effectively.

Meet Dr. Carla Hayn, UCLA Anderson School of Management
Carla Hayn is a professor of accounting at UCLA Anderson School of Management and served as the senior associate dean for Anderson’s Executive MBA and Global Executive MBA programs. In addition, she is the director of International Initiatives, a part of the Center for Global Management that focuses on global immersion courses and international exchange programs.
Hayn was instrumental in developing and instituting the FEMBA Flex and EMBA Monthly sections, in which students spend half of their time in the classroom in intensive learning modules and the other half learning through online lectures and activities. She is also the faculty co-director of UCLA Anderson Executive Education’s corporate governance program, which is aimed at educating and updating directors of public and private companies’ boards.
Hayn’s research is in the areas of financial reporting and disclosures, the effect of accounting numbers on stock prices, analysts’ forecasts, the economic consequences of taxes and tax reporting, mergers and acquisitions, and the information content of accounting information such as line-of-business reporting, losses, tax disclosures and special items. She has published numerous articles in leading accounting and finance journals.
Hayn began her career as a commercial loan officer in a bank before becoming a senior financial analyst for the State of Florida legislature. Prior to joining UCLA, she was a faculty member of the Kellogg Graduate School of Management at Northwestern University, where she held the Coopers & Lybrand fellowship in mergers and acquisitions, and the Merage School of Business at the University of California, Irvine.
Hayn regularly consults with corporate boards on the financial ramifications of alternative strategies, as well as on disclosure issues in their financial filings and press releases. In addition, she serves as an expert witness in securities litigation cases, focusing on financial reporting, corporate valuation, fraud and damage assessment.

Meet the Speaker
Dr. Lori Rosenkopf is the Simon and Midge Palley Professor at the Wharton School of the University of Pennsylvania. In her current role as Vice Dean of Entrepreneurship, Dr. Rosenkopf serves as the Wharton Faculty Director for Venture Lab and as the Faculty Director for Wharton San Francisco. She earned her Ph. D in Management of Organizations from Columbia University after working as a systems engineer for Eastman Kodak and AT&T Bell Laboratories. Dr. Rosenkopf’s research examines technological communities and social networks across several high-tech industries. She analyzes how and when knowledge may flow between technical professionals and between firms, mapping these flows to estimate when people, firms, and technologies are likely to learn, move, and succeed. Her research has been published in leading journals including Administrative Science Quarterly, Academy of Management Journal, Academy of Management Review, Management Science, Organization Science, and Strategic Management Journal.

Maggie Jackson
Maggie Jackson leads compensation programs at SoFi Technologies. Her career in HR started in 2017 at HP Inc. when she joined their HR leadership development program. At HP, her roles included Business Compensation Manager, EMEA Employee Relations and DEI Project Manager, HR Business Partner, and Chief of Staff to the Chief HR Officer. In 2021, she joined SoFi Technologies where she has supported the majority of business units and functions as a Compensation Partner in addition to her current role. She has an MBA from the University of Wisconsin – Madison and a MS in International Studies from Oklahoma State University.
Ambika Kumar MBA, SHRM-CP
Ambika has been at Microsoft for over 2.5 years and is currently a Wellness Benefits Manager. She first interned at Microsoft summer of 2020 in the Global Executive Talent Acquisition Team, working as an executive recruiter. After graduating from the University of Wisconsin with her MBA, she moved to Washington and returned to Microsoft as a full-time employee within the HR Rotation Program (HR2P). Within this program, she has been able to experience a variety of roles and continues to develop her HR skills with each rotation. She spent her first year as an HRBP for the Cloud Marketing team learning the ins and outs of being a partner for a large, complex business group. For her second rotation, she returned to the Global Executive Talent Acquisition Team first as a Program Manager and then shifted her scope to also including executive recruiting responsibilities. For her third and final rotation, she is now in the benefits field specifically working on physical wellness programs and managing vendor partnerships!
Ambika attended Miami University in Oxford, OH for her undergraduate education. Here she was heavily involved with the co-ed service fraternity, Alpha Phi Omega. She believes her time in Alpha Phi Omega was integral to the development of her leadership skills early on. She then attended The University of Wisconsin – Madison where she completed her MBA and specialized in the Strategic Human Resource concentration.
Outside of work you can find Ambika volunteering in her community, trying out different restaurants, kayaking or hiking nearby, reading at home, having craft nights with her friends, and most importantly catching up on the latest Taylor Swift news!
Liz Hakes
Liz serves as an HR Business Partner at General Mills, an international company making food the world loves like Cheerios, Annie’s, and Nature Valley to name a few of her favorites. As an HR Manager supporting General Mills’ foodservice business, she helps leaders and teams to accelerate their potential and grow the business.
Liz joined General Mills in 2019 as an MBA Intern and has served in roles of increasing responsibility over the last 5 years, including a role leading the company’s Onboarding experience for thousands of new hires. Prior to General Mills, Liz spent 5 years dedicated to the growth of Chicago Scholars, a nonprofit that trains talented, under-resourced students to become the next generation of diverse leaders.
Liz holds a Bachelor of Arts in History and French from the University of Chicago and a Master of Business Administration from the University of Minnesota Carlson School of Management.

Leading Through Burnout
Burnout is the feeling of emotional depletion, general fatigue and lack of motivation at work. The American Family Life Assurance Company of Columbus (Aflac) found in a 2022 study that more than 50% of US workers experience moderate to very high burnout. Couple this with the 2022 McKinsey Women and Workplace report that showed that women experience burnout at twice the rate of men. Whether you are one of those who are feeling burnt out or you lead a team who might be experiencing it, this Bootcamp is for you. We will dive deep into how you and your team can reenergize to find more balance, purpose, and wellness. As with all Leadership Bootcamps, you will explore the topic via an assessment, framework for addressing and group discussion to process it all. And of course, you will also receive a 1:1 executive coaching session to dive deeper into your own relationship with burnout, redefine your goals, or create an action plan.

Meet Jeri Harman, Founder & Chairman, Avante Capital Partners
Jeri Harman is a seasoned executive, investor and entrepreneur who has built teams and markets for major institutional investors, and founded and run a highly successful private asset management business. Over the course of her career she has held (as an active board member or observer) Board roles in over 20 private middle market companies across the U.S. in a variety of industries, including healthcare, business services, consumer products, and industrial. She currently serves as Chairman of NN, Inc. (Nasdaq NNBR) and as a director of Engineered Performance Technologies.
As part of her investment and board roles, Ms. Harman has consistently provided advice on strategy, growth, management and organizational development, acquisitions and financial matters. Moreover, she is an expert in finance, M&A and capital markets issues and is a frequent speaker on these topics at conferences and symposiums across the country.
Ms. Harman is Founder & Chairman, and former CEO, of Avante Capital Partners. With over $900 million of capital under management, Avante makes debt and equity investments to finance buyouts, minority recaps, acquisitions and growth. In 2020, Avante was named One of the Most Innovative Firms in Commercial Finance by ABF Journal. In 2018, Avante was named Small Business Investment Company (SBIC) of the Year by the U. S. Small Business Administration (SBA). The firm was also named Women-Owned Firm of the Year 2018 by Private Equity Women Investor Network (PEWIN).
Ms. Harman has over 40 years of financing and M&A experience, involving well over $2 billion in aggregate investments. Prior to founding Avante in 2009, Ms. Harman started-up and led the Los Angeles offices for two multi-billion dollar publicly traded private equity and mezzanine investment funds – American Capital and more recently Allied Capital, where she was also a member of Allied’s Investment Committee. Earlier career highlights include various senior level positions with Prudential Capital. She has served as a Steering Committee Member of PEWIN since its inception and was recently asked to join the PEWIN board.
She has received numerous recognitions over the years including being named to the Los Angeles Business Journal’s LA 500 Most Influential People in Los Angeles in 2018 through 2023. In 2021 and 2022, the LA Times named her a Banking and Finance Visionary. In January 2016, Ms. Harman was on the cover of Mergers & Acquisitions magazine and named one of the Most Influential Women in Mid-Market M&A, a recognition she again received in 2017 through 2022. In March 2017, she was recognized as one of 15 Trailblazers by Buyouts Magazine. In 2013, the National Association of Women Business Owners (NAWBO) Los Angeles inducted Ms. Harman into their Hall of Fame.
She received a MBA from the University of California – Berkeley, and a Bachelors’ degree in Business from the University of Wisconsin – Milwaukee (summa cum laude).

Sonia is an Executive Director at INSEAD Centres of Excellence in Corporate Governance and Family Business. She has extensive experience in leadership and governance practices in private and public companies combined with more than 25 years of educational expertise. She has been an active member of several Boards and Governance Groups for the past years.
She has joined the Advisory Board of Nasdaq Center for Board Excellence on March 2022 and is currently engaged with the INSEAD Global Directors Network and Chapter Zero France under the umbrella of the Governance Initiative of the World Economic Forum. Prior to this, Sonia served on the Governance Working Group of the World Business Council for Sustainable Development (WBCSD), was a member of IDIAP Search Committee under the Foundation of the Research Institute, a former member of the boards of the Global Lodging Forum with MKG Group and Les Roches Global Hospitality Education serving the Institutions in Europe, Middle East, and Asia. Sonia was also a member of the Association of Governing Boards of Universities and Colleges in US and the Association of private schools in Switzerland.
Across her career span, Sonia has worked with different stakeholders and predominantly with family owners, investors, and shareholders. She has been an instrumental contributor to business acquisition and transfer as a member of the Executive Committee of Laureate Hospitality Education. She has worked in multinational organizations around the world holding senior leadership positions, notably as a Chief Operating Officer of a global educational institution and Director General of two start-up family-owned businesses in the hospitality sector. She has been a strategic partner to many international companies helping with business transformation and growth. In 2016, she has launched successfully, a Chicago campus for Les Roches Global Institution expanding its educational footprint from Europe, Middle East, and Asia into the US.
As a strong advocate for thought leadership, Sonia is frequently invited as a guest speaker to various conferences and forums such as the Board Summit-Aurora50, the United Nations World Tourism Organization-African Conference, The Boardroom Africa, Asia Women in Leadership, The Professional Women Network, The Family Business Network and the Global Lodging Forum. Sonia writes opinion pieces and business articles and facilitates thought provoking dialogue sessions. She leads and contributes to applied research in trending topics related to corporate governance and family business such as ESG, sustainability, climate change, business as force for good, diversity equity and inclusion and other topics on transformation and resilience of the Hospitality and Tourism sector.
In 2017, Sonia was nominated among the “100 leading personalities” the movers and shakers making the Suisse Romande and recognized as the “Exporter of Knowledge”. In 2013, she was recognized as “Women of Power” in the Swiss Alps region. Sonia has a combined master’s degree in Languages, Management and Administration, has attended postgraduate studies (D.E.A) in Italian Civilization and Literature at la Sorbonne and joined several of INSEAD learning sessions.

Elissa Sangster serves as CEO of Forté and brings to the role extensive knowledge of issues affecting women’s abilities to seek, prepare for and attain business leadership positions, drawn from her prior experience as Assistant Dean and Director of the MBA Program at the McCombs School of Business at the University of Texas at Austin. There she oversaw all activities related to the full-time McCombs MBA program including marketing, admissions, student services, and alumni relations. Before McCombs, Elissa was Assistant Director of the MBA Program at Texas A&M University’s Mays School of Business.
